Dosatron Terms and Conditions of Purchase
1. Aplicability. These Terms and Conditions of Purchase (“Terms”), together with any other document(s) that Dosatron International, LLC (“Dosatron”) has attached hereto or executed that specifically reference these Terms; including but limited to an Order Form, Standing Order or SOW (collectively, “Agreement”) shall apply to all purchases of products and/or services as between Customer and Dosatron and shall supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. These Terms prevail over any of Customer's general terms and conditions of purchase regardless whether or when Customer has submitted its purchase order or such terms. Fulfillment of Customer's order does not constitute acceptance of any of Customer's terms and conditions and does not serve to modify or amend these Terms. This Agreement will apply unless Customer has a separate written agreement with Dosatron that expressly replaces this agreement. These terms and conditions may be updated or amended from time to time by Dosatron, a copy of which will be available for review.
2. Delivery. (a) The products specified in the applicable SOW or Order Form (“Products”) will be delivered within a reasonable time, subject to availability. Dosatron shall not be liable for any delays, loss or damage in transit, unless otherwise stated in the applicable SOW. Delivery dates provided by Dosatron are estimates only. (b) Dosatron shall deliver the Products to the Customer’s specified location (the "Delivery Point") using Dosatron's standard methods for packaging and shipping such Products. Customer shall be responsible for all loading costs and provide equipment and labor reasonably suited for receipt of the Products at the Delivery Point. (c) Unless otherwise agreed by Dosatron in writing, shipping, freight, handling, insurance and related costs (including, unless otherwise expressly agreed, return costs) are sole responsibility of Customer and will be “pre-paid and added” or otherwise invoiced to Customer. By default Dosatron will ship products FOB Clearwater, Florida. (d) Dosatron may, in its sole discretion, without liability or penalty, make partial shipments of Products to Customer. Each shipment will constitute a separate sale, and Customer shall pay for the units shipped whether such shipment is in whole or partial fulfillment of Customer's purchase order. (e) If for any reason Customer fails to accept delivery of any of the Products on the date fixed pursuant to Dosatron's notice that the Products have been delivered at the Delivery Point, or if Dosatron is unable to deliver the Products at the Delivery Point on such date because Customer has not provided appropriate instructions, documents, licenses or authorizations: (i) risk of loss to the Products shall pass to Customer; (ii) the Products shall be deemed to have been delivered; and (iii) Dosatron, at its option, may store the Products until Customer picks them up, whereupon Customer shall be liable for all related costs and expenses (including, without limitation, storage and insurance).
3. Non Delivery. (a) The quantity of any installment of Products as recorded by Dosatron on dispatch from Dosatron's place of business is conclusive evidence of the quantity received by Customer on delivery unless Customer can provide conclusive evidence proving the contrary. (b) Dosatron shall not be liable for any nondelivery of Products (even if caused by Dosatron 's negligence) unless Customer gives written notice to Dosatron of the non-delivery within five days of the date when the Products would in the ordinary course of events have been received. (c) Any liability of Dosatron for non- delivery of the Products shall be limited to replacing the Products within a reasonable time or adjusting the invoice respecting such Products to reflect the actual quantity delivered.
4. Title and Risk of Loss. itle and risk of loss passes to Customer upon delivery of the Products at the Delivery Point. As collateral security for payment in full of the purchase price of the Products, Customer hereby grants to Dosatron a lien on and security interest in and to all of the right, title and interest of Customer in, to and under the Products, wherever located, and whether now existing or hereafter arising or acquired from time to time, and in all accessions thereto and replacements or modifications thereof, as well as all proceeds (including insurance proceeds) of the foregoing. The security interest granted under this provision constitutes a purchase money security interest under the Uniform Commercial Code.
5. Inspection and Rejection of Nonconforming Products or Components.. (a) Customer shall inspect the Products within two (2) days of receipt and prior to use (whichever is earlier) ("Inspection Period"). Customer will be deemed to have accepted the Products unless it notifies Dosatron in writing of any Nonconforming Products or Components during the Inspection Period and furnishes such written evidence or other documentation as reasonably required by Dosatron. "Nonconforming Products or Components" means only the following: (i) Product shipped is different than identified in Customer's Order Form; or (ii) Product components contain material manufacturing defects. (b) 2 56636807;1 If, prior to use, Customer timely notifies Dosatron of any Nonconforming Products or Components utilizing Dosatron’s return authorization process www.dosatron.com/return-policy ("Return Policy") or call Dosatron Customer Service at 1-800-523- 8499, Dosatron shall, in its sole discretion, (i) replace such Nonconforming Products or Components with conforming Products or components, or (ii) credit or refund the Price for such Nonconforming Products or Components (less the applicable restocking fee). Customer shall ship, at its expense and risk of loss, the Nonconforming Products or Components to Dosatron's facility located in Clearwater, Florida. If Dosatron exercises its option to replace Nonconforming Products or Components, Dosatron shall, after receiving Customer's shipment of Nonconforming Products or Components, ship to Customer, at Customer's expense and risk of loss, the replaced Products to the Delivery Point. Restocking fees apply to all returnable and returned Products, and custom or special order Products are not eligible for returns, refunds or credits. (c) Customer acknowledges and agrees that the remedies set forth in Section 5(b) are, to the fullest extent possible under applicable law, Customer's sole and exclusive remedies for the delivery of Nonconforming Products or Components. All Services are provided "AS IS" with no warranty unless expressly stated otherwise in the applicable SOW.
